Corporate Litigation

 

There is nothing routine about “bet the company” corporate litigation, where ownership is putting the existence of the company or a division of the company at risk. 

  

An adverse judgment can see the company bankrupted and the principals ruined.  Typical actions include: litigation between 50/50 shareholders, litigation between executives and the company, class-action litigation and litigation over a customer list or trade secrets. 

In one such “bet the company” lawsuit, the firm won a large judgment against a publicly traded company and defeated a cross claim that would have bankrupted the client.  

In another, the firm’s lawyers represented departing executives who were sued over a customer list and unfair competition.  A loss would have closed their new startup and left them insolvent.  However, diligent research found a crucial vulnerability in the plaintiff’s case, leading to a settlement for a small fraction of the initial claim.

In a lawsuit between competitors, the firm filed a summary judgment motion to defeat a half-million dollar claim of alleged tampering.  The plaintiff dismissed the case before the hearing.

In another arbitration, the company was able to extricate a partner from a bad situation in exchange for a significant payment for his interest in the company.  Losing would have meant a total loss of the investment.  The negotiations took place during the breaks between argumentative deposition sessions.

In these kinds of disputes, causes of action include breach of contract, breach of fiduciary duty, fraud, negligent misrepresentation, and other business torts.
